Terms of Service

These Terms of Service ("Terms") govern your use of FBAgent, a service operated by 14518110 Canada Inc. ("FBAgent," "we," "us," or "our"). By creating an FBAgent account or using the service, you agree to these Terms.

FBAgent is a software-as-a-service application that connects to your Amazon Seller Central account through Amazon's Selling Partner API and helps you monitor and manage your Amazon selling operations. Features include, without limitation, monitoring listings, inventory, account health, pricing, and financial data, and generating alerts and recommendations.

You are responsible for maintaining the confidentiality of your FBAgent account credentials and for all activity that occurs under your account. Notify us immediately at robert@fbagent.ai if you suspect unauthorized access.

You must be at least 18 years old and legally able to enter contracts to use FBAgent. If you are using FBAgent on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

To use FBAgent's core features, you must connect your Amazon Seller Central account through Amazon's Selling Partner API OAuth flow. By connecting your Amazon account, you authorize FBAgent to access the Amazon data described in our Privacy Policy on your behalf.

You represent that:

• You are the authorized user of the Amazon Seller Central account you connect
• You will comply with Amazon's Seller Central terms and policies
• You will not use FBAgent to violate Amazon's Acceptable Use Policy or any other Amazon policy

You can revoke FBAgent's access to your Amazon account at any time through Amazon Seller Central.

You agree not to:

• Use FBAgent for any unlawful purpose or in violation of Amazon's policies
• Attempt to access data belonging to other FBAgent customers
• Reverse engineer, decompile, or attempt to extract the source code of FBAgent, except to the extent this restriction is prohibited by law
• Use FBAgent to send spam, harass buyers, or engage in deceptive practices
• Resell or sublicense FBAgent access without our written consent
• Interfere with or disrupt the FBAgent service or its infrastructure

If you subscribe to a paid FBAgent plan, you agree to pay the fees described at the time of subscription. Fees are charged in advance and are non-refundable except as required by law. We may change our fees on 30 days' notice; changes will not apply to any period you have already paid for.

FBAgent and all associated software, content, and materials are owned by 14518110 Canada Inc. and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use FBAgent solely as permitted by these Terms.

You retain ownership of the data you or Amazon provide to FBAgent on your behalf. You grant us a limited license to use that data solely to provide, maintain, and improve the FBAgent service on your behalf.

Each party will protect the other's confidential information with the same degree of care it uses to protect its own confidential information, and no less than a reasonable standard of care. Amazon Selling Partner data you connect to FBAgent is treated as your confidential information.

FBAgent is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

FBAgent's alerts, recommendations, and automated actions are decision-support tools. You are responsible for reviewing and approving any action that affects your Amazon account. We do not guarantee any particular business outcome.

To the maximum extent permitted by law, FBAgent's total liability for any claim arising out of or relating to these Terms or the service will not exceed the fees you paid to FBAgent in the 12 months before the claim arose.

In no event will FBAgent be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless FBAgent and its affiliates from any claims, damages, or expenses arising out of your use of FBAgent, your violation of these Terms, or your violation of any applicable law or third-party right, including Amazon's policies.

You may terminate your FBAgent account at any time by emailing robert@fbagent.ai or through the in-app account settings. We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the service. Upon termination, your right to use FBAgent ends immediately and we will delete your data in accordance with our Privacy Policy.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of these Terms will be resolved in the courts of Ontario, Canada, and you consent to the exclusive jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service before the changes take effect. Continued use of FBAgent after changes take effect constitutes acceptance of the updated Terms.
